Available Company SEC Documents definition

Available Company SEC Documents means all reports, schedules, forms, statements and other documents filed by Company with the SEC and publicly available prior to the date of this Agreement.
Available Company SEC Documents has the meaning set forth in the preamble to Section 3.

  • Except as set forth in the Available Company SEC Documents, since October 2, 2005 there have been no transactions, agreements, arrangements or understandings between the Company or any Subsidiary, on the one hand, and their respective directors, officers or Affiliates, on the other hand, that would be required to be disclosed under Item 404 of Regulation S-K.

  • The Company and each of the Subsidiaries has all requisite power and authority to carry on the businesses in which it is engaged (as described in the Available Company SEC Documents) and to own or lease its properties.
