Available Cash Proceeds definition

Available Cash Proceeds of any Asset Sale means:
Available Cash Proceeds means, with respect to any sale, lease, transfer or other disposition of assets, the aggregate cash payments (including any cash received by way of deferred payment pursuant to a note receivable issued in connection with such sale, lease, transfer or other disposition, other than the portion of such deferred payment constituting interest, and including any amounts received as disbursement or withdrawals from any escrow or similar account established in connection with any such sale, lease, transfer or other disposition, but, in either such case, only as and when so received; but excluding any portion of cash payments which the Borrower determines in good faith (x) should be reserved for post-closing adjustments (to the extent the Borrower delivers to the Administrative Agent a certificate signed by its chief financial officer, treasurer, controller or chief accounting officer as to such determination) or (y) must be applied to repurchase Senior Notes pursuant to the Senior Note Documents (to the extent the Borrower delivers to the Administrative Agent a certificate signed by its chief financial officer, treasurer, controller or chief accounting officer as to such determination), it being understood and agreed that on the date that all such post-closing adjustments have been determined and/or the date such repurchases shall be required to be effected, as the case may be, the amount (if any) by which the reserved amount in respect of such sale or disposition exceeds the actual post-closing adjustments payable by the Borrower or any of its Subsidiaries or actual amount expended in connection with such repurchases, as the case may be, shall constitute Available Cash Proceeds on such date) received by the Borrower and/or any of its Subsidiaries from such sale, lease, transfer or other disposition.
Available Cash Proceeds means the gross cash proceeds received by the Company from any Sale or Issuance Transaction, less all fees and expenses incurred in connection therewith, including, without limitation, legal expenses, customary commissions, and all federal, state, local and foreign taxes assessed in connection therewith.

Available Cash Proceeds means (i) with respect to the disposition of IM Parks, Inc. and its Subsidiaries permitted by Section 5.02(e)(viii), $93,000,000 and (ii) with respect to disposition of the Proficient Food Companies permitted by Section 5.02(e)(ix), $118,000,000.
