Authorized Sales Agent means a Company authorized Distributor, Value Added Reseller or other entity to which the Company has granted the rights to represent and resell the Software.

  • Authorized Sales Agent shall have no right to withhold, deduct or set off any payments to compensate for any ASA Terms & Conditions claims against the Company.

  • Sales Agent means an authorized representative of the Company; and

  • Authorized City Representative means the Mayor, the City Manager or such other Person at the time designated to act on behalf of the City as evidenced by written certificate furnished to the Developer and the Trustee containing the specimen signature of such Person and signed on behalf of the City by its Mayor or City Manager. Such certificate may designate an alternate or alternates, each of whom may perform all duties of the Authorized City Representative.

  • Authorized Issuer Representative means any person at the time designated to act on behalf of the Issuer by a written certificate furnished to the Company and the Trustee containing the specimen signature of such person and signed on behalf of the Issuer by its Chairman. Such certificate may designate an alternate or alternates.
