Audited Pre-Closing Financial Statements definition

Audited Pre-Closing Financial Statements means the audited consolidated balance sheet of the Loan Parties and their Subsidiaries for the Fiscal Years ended December 31, 2015, December 31, 2016, and December 31, 2017, and the related consolidated statements of income or operations, shareholders’ equity and cash flows of the Loan Parties and their Subsidiaries for such Fiscal Year, including the notes thereto.
Audited Pre-Closing Financial Statements means, collectively, (i) the unaudited consolidated balance sheet of Target and its Subsidiaries for the Fiscal Year ended December 31, 2007, and the related consolidated statements of income or operations, shareholders’ equity and cash flows of Target and its Subsidiaries for such Fiscal Year, including the notes thereto and (ii) the audited consolidated balance sheet of Holdings and its Subsidiaries for the Fiscal Year ended December 31, 2007, and the related consolidated statements of income or operations, shareholders’ equity and cash flows of Holdings and its Subsidiaries for such Fiscal Year, including the notes thereto.
Audited Pre-Closing Financial Statements means the audited consolidated balance sheet of Target and its Subsidiaries for the Fiscal Year ended December 31, 2006, and the related consolidated statements of income or operations, shareholders’ equity and cash flows of Target and its Subsidiaries for such Fiscal Year, including the notes thereto.
