Attorneys-in-Fact definition

Attorneys-in-Fact means persons who have received a mandate to act in the Company’s name and/or on its behalf. mandate.
Attorneys-in-Fact as used herein shall include their respective substitutes.
Attorneys-in-Fact with authority to execute and deliver this Agreement on behalf of such Selling Stockholder, to determine the purchase price to be paid by the Underwriters to the Selling Stockholders as provided in Section 2 hereof, to authorize the delivery of the Shares to be sold by such Selling Stockholder hereunder and otherwise to act on behalf of such Selling Stockholder, to the extent authorized in the Power of Attorney, in connection with the transactions contemplated by this Agreement and the Power of Attorney and Custody Agreement. The Power of Attorney and Custody Agreement has been duly authorized, executed and delivered by such Selling Stockholder.

More Definitions of Attorneys-in-Fact

Attorneys-in-Fact shall have the meaning set forth in Section 2(c) hereof.
Attorneys-in-Fact will have the meaning established in sub-clause (b) of Clause Fourteen hereof.
Attorneys-in-Fact shall have the meaning attributed thereto under paragraph (c), Xxxxxx Xxxxxxxx of this Agreement.

Related to Attorneys-in-Fact

  • Attorney-in-Fact means an agent under a power of attorney pursuant to chapter 633B or an attorney in fact under a durable power of attorney for health care pursuant to chapter 144B.

  • Reasonable in the circumstances means using no more force than is needed.

  • Investigative consumer report means a consumer report or portion thereof in which information about a natural person's character, general reputation, personal characteristics, or mode of living is obtained through personal interviews with the person's neighbors, friends, associates, acquaintances, or others who may have knowledge concerning such items of information.

  • Expert witness or “expert” means a person who is retained to render an opinion regarding an issue relevant to a case, whether or not the person actually testifies in court.

  • the 1961 Act means the Land Compensation Act 1961(d); “the 1965 Act” means the Compulsory Purchase Act 1965(e); “the 1980 Act” means the Highways Act 1980(f);

  • Related Bodies Corporate has the meaning given to that term in the Corporations Xxx 0000 (Cth).

  • Grandparent means the parent of an Employee’s Parent.

  • Son or daughter means a biological, adopted, or foster child, a stepchild, a legal ward, or a child of a person standing in loco parentis, who is under 18 years of age, or is 18 years of age or older and incapable of self-care because of a mental or physical disability.

  • Judicial Branch Entities means any California superior or appellate court, the Judicial Council of California, and the Habeas Corpus Resource Center.

  • Attorneys’ Fees means the full and actual cost of any legal services actually performed in connection with the matter involved calculated on the basis of the usual fee charged by the attorney performing such services and shall not be limited to "reasonable attorneys' fees" as defined in any statute or rule of court.

  • Disbursements shall include, but not be limited to, costs of travel, telephone, copying, fax transmission, depositions, investigators, messengers, mediation expenses, computer research fees, court fees, expert fees, other consultation fees and paralegal expenses. Any recovery in the Litigation shall first be used to reimburse disbursements.

  • County Attorney means the County Attorney of the County of Suffolk.

  • Experts means, collectively, Key Experts, Non-Key Experts, or any other personnel of the Consultant, Sub-consultant or Joint Venture member(s).
