Assumed Locations means each of the locations of the Business set forth on Schedule 2.1A-2.

Examples of Assumed Locations in a sentence

  • Attached hereto as Schedule 3.4 are the profit and loss statements for the fiscal year ended December 31, 2007 and the seven (7)-month period ended July 31, 2008 of the Business as conducted at the Specified Locations, Assumed Locations 25 and Shared Locations (referred to collectively herein as the “Business Financial Statements”).

  • Buyer shall give Seller reasonable notice of the time and date it intends to evaluate Business Merchandise at the Assumed Locations, Shared Locations and Other Business Locations.

  • For the avoidance of doubt, the Leases at the Assumed Locations cannot be excluded or considered as Excluded Contracts under any circumstances and shall be deemed Assumed Contracts.

  • Except as set forth on Schedule 3.7, there are no material Governmental Permits, licenses, certificates of inspection or other authorizations, necessary for or used to carry on the Business as now being conducted at any of the Specified Locations, Assumed Locations or Shared Locations or to use and occupy such Principal Premises as now being used, which are required by currently effective laws, rules or regulations.

  • No less than 70% of the consents of landlords listed on Schedule 3.3(b) with respect to Specified Locations, Assumed Locations or Shared Locations shall have been obtained, and all waiting periods specified by the HSR Act, the passing of which is necessary for the consummation of the transactions contemplated hereby, shall have passed or been terminated.

  • Sellers shall take no action to terminate the leases or sublet or encumber the space housing the Network Assets at the Non-Assumed Locations prior to Buyer removing the Network Assets, and Sellers shall maintain security at such Non Assumed Locations at or better than the level provided prior to the Closing Date until Buyer has removed all Network Assets.

Related to Assumed Locations

  • Work Locations means any real estate that Windstream owns, leases or licenses or in which it holds easements or other rights to use, or does use, in connection with this Agreement.

  • Co-location means the use of an existing tower or structure to support antennae for the provision of wireless services. A replacement tower that is constructed on the same site as an existing tower will be considered a co-location as long as the new tower is no taller than the old tower and that the old tower is removed in a reasonable short time frame after the new tower is constructed.

  • Fixed location means a permanent place of doing business in this state, such as an office, warehouse, storefront, or similar location owned or controlled by an employer.

  • Assumed Leases has the meaning set forth in Section 2.6(b).

  • Project Location means the points or areas designated as such on Exhibit A and located on the ground by reference to points, stations, natural land features, improvements, or area boundary signs. STATE means the Oregon Department of Forestry, State Forester, or a duly Authorized Representative of the State Forester.

  • Anchor location means the physical location from which:

  • Business location means a location where the firm carries out an activity that requires registration, and includes a residence if regular and ongoing activity that requires registration is carried out from the residence or if records relating to an activity that requires registration are kept at the residence;

  • Retail location means a facility listed under NFPA 1124, 7.1.2.

  • Assumed Liabilities has the meaning set forth in Section 2.3.

  • Approved Location means (a) a storage terminal or facility located in the United States or Canada owned by the Borrower or a Subsidiary; or (b) other storage location located in the United States or Canada identified by the Borrower by notice to the Administrative Agent for which, if requested by the Administrative Agent, the Borrower has used commercially reasonable efforts to cause the owner, operator or landlord thereof to execute and deliver, a waiver of lien, subordination agreement or similar agreement in form and substance reasonably acceptable to the Administrative Agent with respect to any inventories of Petroleum Products stored at such terminal or facility.

  • Closing Location means the location that all Proposals for this RFP will be accepted at.

  • Designated Location means the agreed physical location identified in the applicable Notification Form at which where the server-based portion of the Application Software resides.

  • Acquired Assets has the meaning set forth in Section 2.1.

  • Service Locations means those locations set forth on Exhibit B.

  • Off-Site Location means any real property other than the Real Property.

  • Transferred Assets means the assets, rights and properties of the Sellers that the Purchasers shall acquire as of the Closing.

  • Purchased Assets has the meaning set forth in Section 2.1.

  • Worksite location means a construction site or other temporary worksite in this state at which the employer provides services for more than twenty days during the calendar year. "Worksite location" does not include the home of an employee.

  • Included Assets has the meaning in Section 5.1(d)(ii)(A).

  • Cemetery merchandise means merchandise described in section 4(1)(k)(i).

  • Assumed Contracts has the meaning set forth in Section 2.1(d).

  • SITE / LOCATION means any Site where BHARAT PETROLEUM CORPORATION LTD. desires to receive materials any where in India as mentioned in RFQ.

  • Transferred Real Property means (a) the Transferred Owned Real Property and (b) the premises that is subject to the Transferred Real Property Leases.

  • Transferred Contracts has the meaning ascribed to it in Section 2.1(c).

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Retained Contracts shall have the meaning specified in Section 2.1.6.
