Asset Representations Reviewer definition

Asset Representations Reviewer means the asset representations reviewer appointed as provided in the Lead Securitization Servicing Agreement.

Asset Representations Reviewer means Xxxxxxx Fixed Income Services LLC, or any successor Asset Representations Reviewer under the Asset Representations Review Agreement.

• Any Person (a) into which the Asset Representations Reviewer is merged or consolidated, (b) resulting from any merger or consolidation to which the Asset Representations Reviewer is a party or (c) succeeding to the business of the Asset Representations Reviewer, if that Person is an Eligible Asset Representations Reviewer, will be the successor to the Asset Representations Reviewer under this Agreement.

• If the Asset Representations Reviewer participates in a dispute resolution proceeding under Section 3.13 and its reasonable out-of-pocket expenses and reasonable compensation for the time it incurs in participating in the proceeding are not paid by a party to the dispute resolution within ninety (90) days of the end of the proceeding, the Sponsor will reimburse the Asset Representations Reviewer for such expenses upon receipt of a detailed invoice.

• The Asset Representations Reviewer shall be required to perform only the testing procedures listed under “Tests” in Exhibit A, and shall have no obligation to perform additional testing procedures on any Subject Receivables or to consider any additional information provided by any party.

• Nothing in this Agreement will make the Asset Representations Reviewer and any of the Issuer, the Grantor Trust, the Sponsor, the Servicer, the Indenture Trustee, the Grantor Trust Trustee or the Owner Trustee members of any partnership, joint venture or other separate entity or impose any liability as such on any of them.

• On receipt of notice, the Asset Representations Reviewer will terminate the Asset Review immediately and will not be obligated to deliver a Review Report.
