Asset Dispositions definition

Asset Dispositions has the meaning specified in Section 5.02(e).

More Definitions of Asset Dispositions

Asset Dispositions means, subject to the Asset Letter, any disposition, whether by sale, lease, assignment or other transfer of (a) any of the assets of the Borrower or its Domestic Subsidiaries (other than a Receivables Subsidiary), including, without limitation, pursuant to any Permitted Factoring Arrangements and any Receivables Securitization Program, and (b) any of the assets of a Foreign Subsidiary pursuant to a Foreign Sale-Leaseback Transaction.
Asset Dispositions means the disposition whether by sale, lease, transfer, damage, condemnation or otherwise of any of the assets of the Borrower or any Subsidiary other than: (i) the sale of inventory in the ordinary course of business, (ii) the dispositions of unnecessary, obsolete or worn-out equipment, and (iii) the disposition by one Subsidiary of assets to the Borrower or to any other Subsidiary in a transaction permitted by Section 6.03(a).
Asset Dispositions and such provisions applicable to such Capital Stock specifically provide that the Issuer and its Restricted Subsidiaries will not repurchase or redeem any such stock pursuant to such provisions prior to the repurchase of such Securities as are required to be repurchased pursuant to the covenant described under "Asset Dispositions."
