Articles of Incorporation of Surviving Corporation. The Articles of Incorporation of Acquiror in effect immediately prior to the Effective Time shall be the Articles of Incorporation of the Surviving Corporation until duly amended in accordance with their terms.
Articles of Incorporation of Surviving Corporation. At the Effective Time, the Articles of Incorporation of Parent, as amended (the “Parent Articles”), as in effect immediately prior to the Effective Time, shall be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with their terms and applicable law.
Articles of Incorporation of Surviving Corporation. The Articles of Incorporation of Merger Sub in effect immediately prior to the Effective Time shall be the Articles of Incorporation of the Surviving Corporation until amended in accordance with the OBCA.
Articles of Incorporation of Surviving Corporation. At the Effective Time, the Articles of Incorporation of Intermediary (the “Intermediary Articles”), as in effect immediately prior to the Effective Time, shall be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with applicable law.
Articles of Incorporation of Surviving Corporation. At the Effective Time, the Articles of Incorporation of First Financial (the “First Financial Articles”), as in effect at the Effective Time, shall be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with applicable law.
Articles of Incorporation of Surviving Corporation. The Articles of Incorporation of UCMC, as in effect at the Effective Time, shall continue in full force and effect, and shall be the Articles of Incorporation of the Surviving Corporation.
Articles of Incorporation of Surviving Corporation. Effective at the Effective Time, the Articles of Incorporation of Vision 21 shall be the Articles of Incorporation of the Surviving Corporation unless and until duly amended in accordance with its terms.
Articles of Incorporation of Surviving Corporation. Effective at the Effective Time, the Articles of Incorporation of the Subsidiary shall be the Articles of Incorporation of the Surviving Corporation unless and until duly amended in accordance with its terms.
Articles of Incorporation of Surviving Corporation. At the Effective Time, the Articles of Incorporation of Merger Sub (the “Merger Sub Articles”), as in effect immediately prior to the Effective Time, shall be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with applicable law.
Articles of Incorporation of Surviving Corporation. The Articles of Incorporation of the Surviving Corporation shall be the Articles of Incorporation of DE LUXE ONYX COMPANY, of Nevada, a copy of which is annexed as Exhibit "A" hereto.
