Approved Investors definition

Approved Investors means (a) the Developer or a Related Entity, (b) an “accredited investor” under Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, (c) a “qualified institutional buyer” under Rule 144A promulgated under the Securities Act of 1933 or (d) any general business company or enterprise with total assets in excess of $50,000,000.

• Each Transaction, or applicable portion thereof, will automatically terminate on the earlier of (x) the date or dates when the subject Purchased Loans are purchased by Approved Investor(s) and (y) the Termination Date.

More Definitions of Approved Investors

Approved Investors means those persons and their Affiliates listed on Exhibit "A" attached hereto.

Approved Investors means persons named in a list of investors agreed in writing between the Borrower and the Mandated Lead Arrangers on or prior to the date of this Agreement (and, in each case, funds managed or advised (or investment vehicles) Controlled by any of such persons).

The Bank may from time to time agree to add financial institutions to the list of Approved Investors provided that a financial institution shall not be deemed to be an Approved Investor until such time as the Bank has notified the Company that such financial institution has been approved by the Bank. The Bank may from time to time remove any financial institution from the list set forth in SCHEDULE 1 for cause by giving the Company prior written notice of such removal; provided, however, the Bank agrees to honor any commitments for delivery of Loans for purchase by any removed investor if such commitment was entered into prior to the Company's receipt of the related removal notification. From and after the Company's receipt of written notice removing an investor from the Approved Investor List, the Company shall not enter into any additional commitments for delivery of Loans for purchase by that investor.

Approved Investors means (a) any company engaged in the pharmaceutical, biotechnology and/or contract research outsourcing industry, and which had total consolidated net income or consolidated revenues for its most recent audited financial year at least equal to that of the Group, (b) any company which is invested in the business of healthcare or PRC healthcare business, which is listed on an internationally recognized stock exchange and has a market capitalisation in excess of US$350,000,000, or (c) a reputable private equity investor or other financial institution which in each case has significant relevant industry experience and has assets under its management, or advises (on a long-term and formal basis) funds which have assets under their management, equal to or exceeding US$1,000,000,000.
