Applicable STRD Compliance Date definition

Applicable STRD Compliance Date means the date on which CFTC Swap Entity compliance is required with respect to Counterparty under CFTC Regulation 23.504 and applicable law regarding the scope of application of CFTC Regulation 23.504, including applicable CFTC interpretations and other CFTC Regulations; provided that the Applicable STRD Compliance Date shall not occur unless and until CFTC Swap Entity is registered (fully or provisionally) with the CFTC as (i) a “swap dealer” as defined in Section 1a(49) of the CEA and CFTCRegulation 1.3(ggg) thereunder, or (ii) a “major swap participant” as defined in Section 1a(33) of the CEA and CFTC Regulation 1.3(hhh) thereunder, as applicable. For the avoidance of doubt, if both Parties are CFTC Swap Entities, the Applicable STRD Compliance Date shall occur on the first date on which compliance is required by either CFTC Swap Entity in respect of the other Party.
Applicable STRD Compliance Date means the date on which Covered SBS Entity compliance is required with respect to CP under SEC Rule 15Fi-5 and applicable law regarding the scope of application of SEC Rule 15Fi-5, including applicable SEC interpretations and other SEC Regulations. For the avoidance of doubt, if both parties are Covered SBS Entities, the Applicable STRD Compliance Date shall occur on the first date on which compliance is required by either Covered SBS Entity in respect of the other party.

  • Distribution Compliance Period with respect to any Note, means the period of 40 consecutive days beginning on and including the later of (a) the day on which such Note is first offered to persons other than distributors (as defined in Regulation S) in reliance on Regulation S, notice of which day shall be promptly given by the Company to the Trustee, and (b) the date of issuance with respect to such Note or any predecessor of such Note.

  • major non-compliance outcome notification means a notification received by a council under section 19N(3) or (4) of the Food Act 1984, or advice given to council by an authorized officer under that Act, of a deficiency that does not pose an immediate serious threat to public health but may do so if no remedial action is taken

  • Reportable Compliance Event means that any Covered Entity becomes a Sanctioned Person, or is charged by indictment, criminal complaint or similar charging instrument, arraigned, or custodially detained in connection with any Anti-Terrorism Law or any predicate crime to any Anti-Terrorism Law, or has knowledge of facts or circumstances to the effect that it is reasonably likely that any aspect of its operations is in actual or probable violation of any Anti-Terrorism Law.

  • Minimum Capital Requirement means the Minimum Capital Requirement, the minimum group Solvency Capital Requirement or other minimum capital requirements (as applicable) referred to in the Relevant Rules;
