Applicable Interest Coverage Ratio definition

Applicable Interest Coverage Ratio means, on any day, the ratio of EBIT to Consolidated Interest Expense for the period of four fiscal quarters of the Company most recently ended prior to such day for which the Company has delivered financial statements pursuant to Section 5.01(a) or 5.01(b), as the case may be.
Applicable Interest Coverage Ratio on any date shall mean 2.25:1.00; provided, however, that if Section 6.11 of the Credit Agreement is amended, modified, succeeded or replaced so that the Interest Coverage Ratio required under the Credit Agreement is not 2.50:1.00, and if the Company delivers to Prudential and the holders of the Notes a copy such amended, modified, succeeded or replaced Credit Agreement, certified by a Responsible Officer of the Company, then, effective upon as amendment, modification, succession or replacement, the Applicable Interest Coverage Ratio shall be the greater of (i) the Interest Coverage Ratio required under the Credit Agreement, as so amended, modified, succeeded or replaced, minus .25, or (ii) 1.75:1.00.
Applicable Interest Coverage Ratio for any period of four consecutive fiscal quarters, the ratio determined for such period in accordance with Schedule 7.1(b).

Applicable Interest Coverage Ratio for purposes of determining what Pricing Level exists at any date means (a) if the Company has delivered all financial statements and certificates required to be delivered on or before such date pursuant to subsections (a), (b) and (c) of Section 6.1, the Interest Coverage Ratio as at the last day of the period covered by the most recent such financial statements and (b) in all other cases, a ratio of less than 2.50 to 1.00.
