Apollo/Athene definition

Apollo/Athene means individually or collectively, as the context so requires, any Noteholder that is Athene Annuity and Life Company or any Affiliate thereof, provided that such Affiliate is Controlled by Athene Holding Ltd. (it being agreed that all Noteholders who are Persons for which Apollo Global Management, LLC, Athene Holding Ltd., or Athene Asset Management LLC, or a respective Affiliate of and Controlled by any of the foregoing, acts as fund or asset manager for such Person, shall all be deemed to be Affiliates of such Noteholder).

  • In any such event, Apollo/Athene shall continue to be the “Holder” with respect to its Subordinate Note for purposes of this Agreement.
