API Financials definition

API Financials means the financial statements in the API SEC Filings filed by API with the SEC on and after November 1, 2003.

  • Except as reflected or reserved against in API Financials (including the notes thereto), API has no material Liabilities, other than Liabilities incurred in the ordinary course of business consistent with past practices since the Financial Statement Date.

  • API shall make available to TMFT true and accurate listing of all financial data that would be required to be shown on a consolidated financial statement prepared in accordance with generally accepted accounting principles (collectively the " API Financials").

  • The API Financials present fairly the financial condition and operating results of API and the API Subsidiaries on a consolidated basis as of the dates and during the periods indicated therein.
