Anticipated Transferred Employees means, collectively, (i) the employees of CECA whose employment contracts are intended to be transferred to the Purchaser by operation of law at the Closing Date as a consequence of the transactions contemplated hereby, (ii) the employees of the Company and (iii) the employees of the Sellers and their Affiliates holding the position listed in Annex 6.10(b), who are intended to accept in writing the offer from the Purchaser (or the Company) on or prior to the Closing Date (the "Anticipated Voluntary Transferred Employees");

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).
