Annual Threshold definition

Annual Threshold shall have the meaning set forth in Section 1.02(b).
Annual Threshold means the actual annual aggregate requirements of OptiNose for the Product in the Territory, as reflected by OptiNose’s records of the number of Product units ordered from CPL and any other vendors by OptiNose, or manufactured by OptiNose itself, during the calendar year.
Annual Threshold means the amount specified as such in the Agreement. If the Purchase Price of a Protected Debt is not payable because the amount of the Outstanding Protected Debt, after deduction of the relevant Value Added Tax, at the date of Debtor Default is less than the Minimum Threshold, the amount equivalent to the Purchase Price will not be taken into account when calculating whether the Purchase Price of Protected Debts paid by Santander in any year of this Agreement exceeds the Annual Threshold.

More Definitions of Annual Threshold

Annual Threshold means one percent (1%) of the then outstanding shares of all classes of Common Stock (as defined in the Stockholders Agreement).
Annual Threshold means the actual annual (on a calendar basis) aggregate requirements of OptiNose for the Product in the Territory less [***], as reflected by OptiNose’s records of the number of Product units: (i) ordered from CPL, and (ii) ordered from any other vendors/suppliers by OptiNose, and (iii) manufactured by OptiNose itself, during the calendar year (provided, in all instances such number shall not be below zero); provided that any Purchase Order(s) cancelled or not accepted due to or during a Supply Failure, or that relate to any Binding Period in effect as of CPL’s cure of such Supply Failure (which CPL shall provide prompt notice thereof to OptiNose), shall in each instance count against such Annual Threshold as if such Purchase Order was fulfilled hereunder and further provided that OptiNose shall not submit a Purchase Order following CPL’s notice of Supply Failure that is more than the amount specified within the Rolling Forecast (as allowed by Section 2.7 of the Agreement) once such amount falls within the Binding Period (i.e. the 4th month of a Rolling Forecast becomes the 3rd month of the Rolling Forecast).”
Annual Threshold has the meaning set forth in Section 28(b).
Annual Threshold means Net Taxable Sales in excess of $5,000,000.00 generated by the Retail Center on the Project Site calculated annually for each Fiscal Year during the term of the Agreement, which represents the baseline of sales for which there shall be no payment to Developer of City Assistance or County Assistance.

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Micro-purchase threshold means the dollar amount at or below which a district may purchase property or services using micro-pur- chase procedures. Generally, the micro-purchase threshold for pro- curement activities administered under federal awards is not to ex- ceed the amount set by the Federal Acquisition Regulations (FAR) at 48 C.F.R. Part 2, Subpart 2.1 [see below], unless a higher threshold is requested by the district and approved by the cogni- zant agency for indirect costs.

  • Hurdle Amount means for the applicable period, an amount equal to 5.0% of the Beginning VPU.

  • M1 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 70.00% and (ii) the Pool Balance for such Distribution Date and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date exceeds (ii) 0.50% of the Cut-off Date Balance.

  • Minimum Quarterly Distribution means $0.35 per Unit per Quarter (or with respect to the period commencing on the Closing Date and ending on September 30, 2005, it means the product of $0.35 multiplied by a fraction of which the numerator is the number of days in such period and of which the denominator is 92), subject to adjustment in accordance with Section 6.6 and Section 6.9.

  • M4 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 95.30% and (ii) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.

  • Annual Cap means for any calendar year an amount equal to fifteen percent (15%) of the outstanding principal amount of A Bonds as of January 1 of such calendar year. The Company has the right to reserve up to one-third of this fifteen percent (15%) limit for Bonds redeemed as a result of a Bondholder’s right upon death, disability or bankruptcy as described in the Indenture.

  • Target Amount is defined in Section 4.3(b)(i).

  • Annual Turnover means the actual turnover achieved during your first year of operations, from the commencement of your business to the date of the damage, converted to a 12-month equivalent figure.

  • Minimum Percentage means 3% of the number of outstanding shares of common stock of the Corporation as provided in the most recent 1934 Act filing made by the Corporation with the SEC immediately prior to the submission of the Nomination Notice.

  • M2 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 65.70% minus the Additional Required Enhancement Percentage and (ii) the Pool Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.

  • Maximum Basic Grant Amount’ has the same meaning as set out in item 1 of Schedule 1 of HESA; ‘National Law’ means (a) for a state or territory other than Western Australia – the Health Practitioner Regulation National Law as set out in the Schedule to the Health Practitioner Regulation National Law Act 2009 (Qld) as it applies (with or without modification) as a law of the State or Territory; and (b) for Western Australia – the legislation enacted by the Health Regulation National Law (WA) Xxx 0000 that corresponds to the Health Practitioner Regulation National Law;
