Annual Gross definition

Annual Gross. Revenues shall mean the aggregate amount of all Gross Revenues of Concessionaire during each Contract Year.
Annual Gross. Revenues shall mean the total revenues, monies and consideration actually received by ICM during each of ICM's fiscal years (as reported in ICM's Financial Statements) from the ICM Sassoon Products and the BSI Skin Care Products which are marketed or distributed pursuant to the terms of this Agreement less rebates (which include any money ICM returns to a buyer after a sale is completed), discounts (which include any lowering of prices from ICM's list prices) and returns. The Estimated Quarterly Payment shall be calculated by estimating the Annual Gross Revenues as of the date of the Estimated Quarterly Payment is made. Any under or overpayments made or received pursuant to this section will be reconciled at the end of each of ICM's fiscal years. Any disagreement between the Parties on the calculation of the Estimated Quarterly Payment shall be resolved by a qualified independent third party accountant jointly selected by the Parties. The determination of such qualified independent third party accountant shall be binding and conclusive on the Parties and each Party will pay 50% of the fees of the qualified independent third party accountant for such determination."
Annual Gross. REVENUES" - has the meaning set forth in Section 2.2(a) of this Agreement.

More Definitions of Annual Gross

Annual Gross. REVENUES" means, as to any Site, the Gross Revenues in respect of such Site in a Sublease Year. "GROSS REVENUES," as to each Site in any Sublease Year, shall be equal to the sum of: (i) an aggregate amount of Space Subtenant Rents payable by all Space Subtenants on such Site in respect of such Sublease Year; plus (ii) the Site Maintenance Charge payable by BSPCI with respect to the Reserved Space of such Site in respect of any Sublease Year. "SPACE SUBTENANT RENT," as to each Site, shall be the amount of the rent and other amounts payable each month for the use or occupancy by a Space Subtenant of any Available Space on any Site pursuant to a lease, sublease, license or other possessory interest or right obtained from TowerCo, including without limitation any ongoing monthly payments for the use or occupancy of such Available Space, however characterized. For the purpose of calculating Gross Revenues, any "bolt-on fees" and other up-front payments by such third party ("UP-FRONT PAYMENTS") shall be deemed to have occurred on a straight-line basis over 120 months, commencing on the first day of the next month following the month in which the Up-front Payment was made. Separately charged and stated payments for installation or construction services rendered by TowerCo to such Space Subtenant for such Site, valued on the basis of the fair market value of such services, shall be excluded from the calculation of Gross Revenues.
Annual Gross. REVENUES" means total sales and other revenues of the Borrower, excluding casino revenues, adjusted for discounts, refunds and allowances and excluding tips, service charges added to a customer's xxxx or statement in lieu of gratuities which are payable to employees and taxes collected and remitted to others.

  • Current Annual Compensation means the greater of:

  • Annual Earnings means your gross annual income from your Employer, not including shift differential, in effect just prior to the date of loss. It includes your total income before taxes. It is prior to any deductions made for pre-tax contributions to a qualified deferred compensation plan, Section 125 plan or flexible spending account. It does not include income received from commissions, bonuses, overtime pay or any other extra compensation or income received from sources other than your Employer.

  • Annual Grant means an Option granted annually to all Non-Employee Directors who meet the criteria specified in subsection 6(b) of the Plan.

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • Annual Compensation means an amount equal to the greater of:

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);

  • Gross compensation means every form of remuneration payable for a given period to an individual for services provided including salaries, commissions, vacation pay, severance pay, bonuses, and any board, rent, housing, lodging, payments in kind, and any similar benefit received from the individual's employer.

  • Annual Incentive Plan means the Cinergy Corp. Annual Incentive Plan or any similar plan or successor to the Annual Incentive Plan.

  • Average Annual Compensation For the purposes of this Agreement, “Average Annual Compensation” shall be an amount equal to the annual average of the sums of (x) the Executive’s annual Base Salary from the Company plus (y) the amount of Incentive Awards accrued by TNS for the Executive, in each case for the three calendar years that ended immediately before (or, if applicable, coincident with) the Change in Control Date;

  • Incentive Pay means an annual amount equal to the aggregate annual bonus, in addition to Base Pay, made or to be made in regard to services rendered in any calendar year or performance period pursuant to any bonus plan of the Company.

  • Incentive Management Fee shall have the meaning set forth in Section 9.2(e) hereof.

  • Pro Rata Annual Bonus means the amount of Annual Bonus, multiplied by a fraction, the numerator of which is the number of days in such year during which the Executive was actually employed by the Company (or its predecessor) and the denominator of which is 365.

  • Annual Base Salary shall have the meaning set forth in Section 3(a).

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one day prior to the Change in Control, and (ii) the Average Incentive Bonus.

  • Income year means any year or accounting period beginning 1 July of one calendar year and ending 30 June of the following calendar year or any other period that the Trustees by resolution adopt;
