ANB Companies definition

ANB Companies means, collectively, ANB and all ANB Subsidiaries.
ANB Companies means, collectively, ANB and all ANB Subsidiaries. "ANB Subsidiaries" shall mean the subsidiaries of ANB which shall include the ANB Subsidiaries described in Section 6.4 of the Agreement and any corporation, bank, savings association, or other organization acquired as a Subsidiary of ANB in the future and owned by ANB at the Effective Time. "Effective Time" shall mean the date and time at which the Merger becomes effective as defined in Section 5.3 of this Plan of Merger. "Exchange Agent" shall have the meaning provided in Section 4.1 of this Plan of Merger. "Exchange Ratio" shall have the meaning provided in Section 2.2(b) of this Plan of Merger.

  • None of the ANB Companies is in Default under any ANB Contract, other than Defaults which are not reasonably likely to have, individually or in the aggregate, a Material Adverse Effect on ANB.
