AMS Software definition

AMS Software means the Internet-based AMS-C computer software licensed by BAN under the name of the Action Management System that is in production use as at the date of this Agreement (including any upgrades provided during the Licence Term and pursuant to clause 6 of this Agreement);
AMS Software means, collectively, the Monitoring Software and the TouchPoint Mobile Application.

Examples of AMS Software in a sentence

  • Except for the limited rights expressly granted hereunder, AMS (or its third party licensors) reserves all rights and title to and interest in the AMS Software (and all modification to the same), including without limitation all related intellectual property rights.

  • Confidential Information specifically includes the AMS Software, User Guides and all data and other information accessed by Customer via the AMS Software.

  • Customer shall be solely responsible for the management and supervision of any Clients or Customer personnel using the AMS Software.

  • Customer agrees to (i) use reasonable efforts to prevent unauthorized access to or use of the AMS Software and notify AMS promptly upon becoming aware of any such unauthorized access or use; (ii) use the AMS Software only in accordance with the User Guides, any other written instructions and all applicable laws and government regulations; and (iii) use the AMS Software and User Guides only as expressly allowed under this Agreement.

  • If any amounts, fees, expenses or charges payable by Customer under or in connection with this Agreement remain unpaid by the relevant due date, AMS may, without limiting its other rights and remedies, suspend access to the AMS Software until such overdue amounts are paid in full together with any interest payable on such overdue amount.

  • Customer shall not be entitled to any setoff, discount, refund or other credit as a result of unavailability of the AMS Software.

  • Upon termination of this Agreement for any reason, all licences granted under or in connection with this Agreement shall immediately terminate and Customer shall immediately cease (and procure that its Clients and Users immediately cease) all use of, and access to, the AMS Software.

  • AMS Software Setup The AMS system comes with software pre-loaded.

Related to AMS Software

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Embedded Software means one or more software applications which permanently reside on a computing device.
