Amount Subject to Recall definition

Amount Subject to Recall means any amount payable to a Holder on the Insured Obligations which has become due for payment and otherwise would have been covered with respect to such Insured Obligation under the terms of this Policy on or prior to the Final Redemption Date and in respect of which payment has been made to a Holder by or on behalf of the Paying Agent which is required to be returned to the Issuer as an unlawful distribution under Section 18-607 of the Delaware Limited Liability Company Act (as amended from time to time, the "Delaware LLC Act"), in accordance with a final non-appealable order of a court, administrator, authority or other tribunal having competent jurisdiction.

  • TIA Applicability Determination As defined in Section 12.12.

  • Flip-In Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Redemption Percentage means, for the Series 2013-VF1 Notes, 10%.

  • Ending Stock Price means the average of the closing price of the applicable stock for the 90 calendar days up to and including the last day of the Performance Period.
