From the Amendment No. 3 Closing Date until the date on which the Leverage Ratio is less than 3.00 to 1.00 (as evidenced to the Administrative Agent and such evidence reasonably satisfactory to the Administrative Agent), neither the Company nor its Subsidiaries shall make any Acquisitions unless otherwise approved by the Required Lenders.
On the Amendment No. 3 Closing Date, giving effect to the Refinancing Term Loans hereunder, (a) each Refinancing Term Lender shall become a “Lender” for all purposes of the Credit Agreement and the other Loan Documents, and (b) each Refinancing Term Loan shall constitute a “Loan” for all purposes of the Credit Agreement and the other Loan Documents.

The Borrower shall utilize the proceeds of the Loans made on the Amendment No. 3 Closing Date (i) to repay all Loans outstanding on the Amendment No. 3 Closing Date immediately prior to the funding of the Loans made on such date, (ii) to pay accrued interest, fees, costs and expenses in connection with the foregoing (including any original issue discount or upfront fees) and (iii) for general corporate purposes.
