Telex and ALTI have caused this Amendment to be executed by their respective duly authorized officers effective as of the date first above written.

ALTI shall indemnify and hold Telex harmless from and against all losses or damages suffered by Telex (including reasonable attorneys' fees and disbursements) which arise out of, relate to, pertain to or concern any misrepresentation by ALTI, or any breach of ALTI's warranties and representations hereunder, or any breach, nonfulfillment or nonperformance by ALTI of any of ALTI's covenants, duties or obligations hereunder.
