Examples of Allseas in a sentence

  • Except as directed in writing, Allseas will not disclose or use at any time, either during the period of this Agreement or thereafter, any Confidential Information (as defined below) of which it is or becomes aware, except to the extent required by applicable law.

  • This Agreement and Allseas rights and obligations hereunder, may not be assigned by Allseas; any purported assignment in violation hereof shall be null and void.

  • No Permit from, or filing or registration with any Governmental Authority is or will be necessary to the valid execution, delivery, or performance of the Loan Documents by the Credit Parties, Allseas or Phoenix.

  • No delay or omission by the Company in exercising any right or power vested in it under this Agreement shall impair such right or power or be construed as a waiver of, or acquiescence in, any default or breach by Allseas of any of its obligations under this Agreement.

  • Allseas will take all appropriate steps to safeguard any Confidential Information, as defined herein, and to protect it against disclosure, misuse, espionage, loss and theft.

  • Allseas may terminate its engagement voluntarily for Good Reason (as defined herein).

  • ASA means the Auction Settlement Amount (or Cash Settlement Amount, as the case may be) determined under the Credit Default Swap Transaction;

  • CCL means the Child Care Licensing Program in the Department of Health that is delegated with the responsibility to enforce the Utah Child Care Licensing Act.

  • APS means the shares of APS being auctioned pursuant to this Section 11.10.

  • PCA means Parliamentary Commissioner Act 1971.

  • Relevant Services means the performance of any services of the type provided by the Company, its Affiliates and/or their predecessors at any time, past, present or future, including, but not limited to, consulting services, technology services, and/or outsourcing services.

  • Odyssey means Odyssey Trust Company.

  • Merchant Services means services provided to merchants relating to the authorization, transaction capture, settlement, chargeback handling and internet-based transaction processing of credit, debit, stored-value and loyalty card and other payment transactions (including provision of point of service devices and other equipment necessary to capture merchant transactions and other ancillary services).

  • CIS means a UCITS or other alternative investment fund within the meaning of Regulation 68(1)(e) of the Regulations and which is prohibited from investing more than 10% of its assets in other such collective investment schemes;

  • We/Us/Our means TATA AIG General Insurance Company Limited.

  • We/Our/Us means the Underwriters named in the Schedule.

  • SONIAi-pLBD means, in respect of any London Banking Day “i” in the relevant Interest Period, the SONIA reference rate for the London Banking Day falling “p” London Banking Days prior to the relevant London Banking Day “i”.

  • AER means annual equivalent rate;

  • PASA means the Packers and Xxxxxxxxx Xxx, 0000 and all regulations promulgated thereunder, as amended from time to time.

  • CJI means criminal justice information collected by criminal justice agencies needed for the performance of their authorized functions, including, without limitation, all information defined as criminal justice information by the U.S. Department of Justice, Federal Bureau of Investigation, Criminal Justice Information Services Security Policy, as amended and all Criminal Justice Records as defined under §24-72-302, C.R.S.

  • Share Company means the Share Company specified in the Table.

  • CSC means the Civil Service Commission of the City and County of San Francisco.
