Allocated Deposit. As defined in Section 9.2.

Allocated Deposit means, for each Property, the amount equal to the Deposit multiplied by the fraction of (x) the Property Value for such Property over (y) the Aggregate Property Value.

• If any such Hotel Asset becomes an Excluded Title Asset, Excluded Casualty Asset, Excluded ROFO/ROFR Asset or Excluded Representation Asset pursuant to the terms of this Agreement, then the Allocated Deposit for such Excluded Title Asset, Excluded Casualty Asset, Excluded ROFO/ROFR Asset or Excluded Representation Asset (and the interest thereon) shall be promptly paid over to Purchaser.

• The Purchase Price, less the Allocated Deposit Amount, shall be paid to Seller at Closing, subject to any credits, apportionments or other adjustments as provided for under the PSA, simultaneously with delivery of the grant deed or equivalent deeds to be delivered to Buyer as provided herein, by one or more wire transfers of immediately available United States Dollars to the Escrow Agent.

• Simultaneously with signing the protocol of delivery and acceptance the Sellers and the Buyers shall also be obliged to sign an Escrow Payment Letter under the Escrow Agreement and thereby releasing the relevant Allocated Deposit.

Allocated Deposit means the Deposit as allocated among the Real Property in proportion to the Allocated Purchase Price of the Real Property to the Purchase Price.
