Alliance Manager definition

Alliance Manager has the meaning set forth in Section 3.1.

The Alliance Managers shall be the first point of referral in all matters subject to dispute resolution in accordance with Section 12.3 and may bring any matter concerning a Party’s performance under this Agreement to the attention of the Executive Officers if either Alliance Manager reasonably believes that such attention is warranted.
Each Party shall immediately notify the other Party (including by providing notice to the other Party’s Alliance Manager) of any information it receives regarding any threatened or pending action, inspection or communication by or from any Third Party, including without limitation a Regulatory Authority, which may affect the Development, Commercialization or regulatory status of any Licensed Product.
