Alliance Contract means a "Project Alliance Agreement" proposed to be negotiated and entered into by the Alliance.

Alliance Contract means (i) any Contract related to the Alliance Businesses that involves the receipt or payment of more than $100,000 or which has a duration of more than one year, or (ii) any other Contract, lease or instrument which is material to the Alliance Businesses.
