All of Tenant s signs shall: (i) be professionally designed, prepared and installed, (ii) not advertise any product, (iii) comply with any sign criteria developed by Landlord from time to time, and (iv) be subject to all Applicable Laws and any covenants, conditions and restrictions applicable to the Project or Building. Tenant shall maintain all signs hereunder in good repair and sightly first class condition. Tenant shall not use strobe or flashing lights in or on the Premises or in any signs therefor.
All of Tenant s rights under this Section 45 shall cease and terminate upon (a) any assignment of Tenant's interest under this Lease (except to a Permitted Transferee in accordance with the terms of the Lease) and (b) upon any subletting of all or any part of the Premises (except to a Permitted Transferee in accordance with the terms of the Lease). All rights of Tenant are and shall be expressly subject and subordinate to all rights of other tenants whose leases with respect to the Premises at the Property from time to time contain rights of any kind to lease all or any part of the First Offer Space."

Notwithstanding any other term or provision of this Sublease, the liability of Subtenant to Sublandlord for any default in Subtenant’s obligations under this Sublease shall be limited to actual, direct damages, and under no circumstances shall Sublandlord, its partners, members, shareholders, directors, agents, officers, employees, contractors, sublessees, successors and/or assigns be entitled to recover from Subtenant (or otherwise be indemnified by Subtenant) for lost revenues, lost profit or other consequential, special or punitive damages arising in connection with this Sublease for any reason, except for any breach by Subtenant under Section 12 of the Master Lease. Notwithstanding any other term or provision of this Sublease, no personal liability shall at any time be asserted or enforceable against Subtenant’s shareholders, directors, officers, or partners on account of any of Subtenant’s obligations or actions under this Sublease.
