Except for the services of the Alkermes Financial Advisor, neither Alkermes nor any of its Subsidiaries has employed, or is subject to any valid claim of, any broker, finder, consultant or other intermediary in connection with the transactions contemplated by this Agreement who might be entitled to a fee or commission in connection with such transactions.
Financial Advisor has the meaning set forth in Section 3.6.
Financial Advisors has the meaning set forth in Section 4.26.
Company Financial Advisor has the meaning set forth in Section 3.10.
Independent Financial Advisor means an accounting, appraisal, investment banking firm or consultant to Persons engaged in Similar Businesses of nationally recognized standing that is, in the good faith judgment of the Issuer, qualified to perform the task for which it has been engaged.
Financial Adviser means any:
Independent Financial Adviser means an independent financial institution of international repute appointed by the Company at its own expense.
Goldman means Xxxxxxx, Sachs & Co.
Sales finance company means that term as defined in section 2 of the motor vehicle sales finance act, MCL 492.102.
Invesco Advisers, Inc. s -affiliated Broker-dealer” means Invesco Distributors, Inc. or Invesco Capital Markets, Inc. or their successors.
Goldman Sachs means Goldman Sachs & Co. LLC.
Jefferies means Jefferies Finance LLC.
Sub-Advisor shall include the Sub-Advisor and/or any of its affiliates and the directors, officers and employees of the Sub-Advisor and/or any of its affiliates.
Legal Advisor means the officer responsible for providing legal advice to the Standards Committee. This may be the Monitoring Officer, another legally qualified officer of the authority, or someone appointed for this purpose from outside the authority.
Investment Advisory Agreement means the investment advisory agreement entered into between the Adviser and the Fund, as from time to time in effect.
TO Proposal – Financial means the TO Contractor’s financial response to the CATS II TORFP dateddate of TO Proposal - Financial.
Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.
Investment Advisory Services means (a) advice with respect to the desirability of investing in, purchasing or selling securities or other property, including the power to determine what securities or other property shall be purchased or sold, but not including furnishing only statistical and other factual information (such as economic factors and trends); and (b) the provision of financial, economic or investment management services, but only if ancillary and related to the advice referred to in clause (a) above.
Investment Advisor means, in relation to a Portfolio, the investment manager or investment advisor of the Portfolio.
Sub-Adviser means an adviser to
Fairness Opinion has the meaning set forth in Section 4.22.
SLDC means the State Load Dispatch Center as notified by the State Government.
Legal Adviser means the properly qualified person appointed by the Trust to provide legal advice.
Investment adviser representative means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing. Independent Financial Consultant means a financial consultant or firm of such consultants generally recognized to be well qualified in the financial consulting field, appointed and paid by the District, who, or each of whom:
Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;
transaction advisor means appointed advisor / consultant by BSNL to assist them in works related to bid process management and conclusion of transactions related to the Said Land Parcel. The Transaction Advisor for Said Land Parcel is Delhi Integrated Multi-Modal Transit System Ltd.
