Alexandria Disclosure Letter means the letter dated of even date herewith and delivered by Alexandria to Chantrell in the form accepted by and on behalf of Chantrell with respect to certain matters in this Arrangement Agreement;

Related to Alexandria Disclosure Letter

Company means the Person named as the “Company” in the first paragraph of this instrument until a successor Person shall have become such pursuant to the applicable provisions of this Indenture, and thereafter “Company” shall mean such successor Person.
Subsidiary means a “subsidiary corporation,” whether now or hereafter existing, as defined in Section 424(f) of the Code.
Department means the department of natural resources.
Affiliate of any specified Person means any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms “controlling” and “controlled” have meanings correlative to the foregoing.
Board means the Board of Directors of the Company.
Exchange Act means the Securities Exchange Act of 1934, as amended.
Person means any individual, corporation, limited liability company, partnership, joint venture, association, joint-stock company, trust, unincorporated organization or government or any agency or political subdivision thereof.
Commission means the Securities and Exchange Commission.
Code means the Internal Revenue Code of 1986, as amended.
Business Day means any day except any Saturday, any Sunday, any day which is a federal legal holiday in the United States or any day on which banking institutions in the State of New York are authorized or required by law or other governmental action to close.
Disclosure Letter the disclosure letter delivered by Seller to Buyer concurrently with the execution and delivery of this Agreement.
Parent Disclosure Letter has the meaning set forth in Article IV.
Disclosure Letters means, collectively, the Company Disclosure Letter and the Parent Disclosure Letter.
Company Disclosure Letter has the meaning set forth in Article III.
Disclosure Schedule means the Disclosure Schedule attached hereto as Schedule I, as it may be amended, supplemented, amended and restated or otherwise modified from time to time by the Borrower with the written consent of the Required Lenders.
Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.
Seller Disclosure Letter means the letter, dated as of the date hereof, delivered by Seller to Buyer prior to the execution of this Agreement and identified as the Seller Disclosure Letter.
Buyer Disclosure Letter means the letter, dated as of the date hereof, delivered by Buyer to Seller prior to the execution of this Agreement and identified as the Buyer Disclosure Letter.
Company Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by the Company to Parent and Merger Subsidiary.
Sellers Disclosure Letter has the meaning specified in the preamble to Article III.
Purchaser Disclosure Letter means the disclosure letter dated the date of this Agreement and delivered by the Purchaser to the Company with this Agreement.
Company Disclosure Schedules means the disclosure schedules to this Agreement delivered to SPAC by the Company on the date of this Agreement.
Buyer Disclosure Schedule has the meaning set forth in Section 4.01(a).
Seller Disclosure Schedule means the disclosure schedule of Seller delivered to Purchaser in connection with the execution and delivery of this Agreement.
Sellers Disclosure Schedule means the disclosure schedule delivered by the Sellers to the Purchaser on the date hereof.
