AIP Benefit definition

AIP Benefit means the Annual Incentive Plan benefit described in Section 5a(i).
AIP Benefit means the Annual Incentive Plan benefit described in Subsection 3b.

Examples of AIP Benefit in a sentence

  • No payment or benefit which will be required to be made pursuant to the terms of any agreement, commitment or AIP Benefit Plan, as a result of the transactions contemplated by this Agreement, to any officer, director or employee of AIP or any of its Subsidiaries, will be characterized as an "excess parachute payment" within the meaning of Section 280G(b)(1) of the Code.

  • The AIP Benefit will be determined using a percentage determined by the Chief Executive Officer, in his discretion, which will not be less than the Executive's annual target percentage for the fiscal year in which the Termination occurs and will not be greater than the maximum percentage specified in Subsection 3b.
