AI Tools definition

AI Tools means any generative artificial intelligence or machine learning technology that uses software algorithms, neural networks, or models to analyze input data, learn from that data, and then automatically (i) makes decisions or predictions based on that learning and/or (ii) generates content or output (including data, text, pictures/images, art, sounds, videos, software/code, designs, specifications, and other content). The term “AI Tools” includes ChatGPT, Co-Pilot, Vertex AI, aiWARE, and similar tools.
AI Tools means any and all deep learning, machine learning, and other artificial intelligence technologies, including any and all (i) algorithms, heuristics, models, and methodologies, whether in source code, object code, human readable form or other form, (ii) proprietary algorithms, software or other IT Systems that make use of or employ expert systems, natural language processing, computer vision, automated speech recognition, automated planning and scheduling, neural networks, statistical learning algorithms (like linear and logistic regression, support vector machines, random forests, k-means clustering), or reinforcement learning, and (iii) proprietary embodied artificial intelligence and related hardware or equipment.
AI Tools means any IT systems, Technology, tools, products and services, that are built using, integrate, leverage, or otherwise interact with any machine-based system that, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that may influence physical or virtual environments, and includes any definition provided by applicable Legal Requirements, and/or by Company or any Company Subsidiary in any of its written policies, procedures and contracts, for “artificial intelligence,” “generative artificial intelligence,” “artificial general intelligence,” “large language model,” “foundation model,” “machine learning,” “algorithm,” and any similar term.

More Definitions of AI Tools

AI Tools means as defined in paragraph , i.e. any machine learning and/or other artificial intelligence tools or machine learning language models.
AI Tools means any software, systems, algorithms, and technologies that can be used to perform intelligent functions or to substitute, augment, or replace the activities, roles, responsibilities, or functions performed by human beings, but excluding any software, systems, algorithms, and technologies that merely use rules directly defined solely by natural persons to automatically execute operations.

These tools may leverage various AI techniques –such as machine learning, natural language processing, computer vision, and robotics to analyze data, automate processes, and enhance human decision making. Examples include but are not limited to: call transcription; investigating, detecting, and troubleshooting issues; improving the quality of Products and Services.

There have been no known interruptions in use of any Company Product arising from the failure of the Software with respect to any AI Tools, including any embodying an algorithm, used in the Company Product to (i) satisfy its expected requirements or execute its specification correctly (e.g., verification errors) or (ii) fulfill the intended use and goals of customers or other stakeholders (e.g., validation errors). The Company Group owns or has all necessary unrestricted rights in and to any developments, improvements or customizations of all Company Products existing as of the Closing Date with respect to any AI Tools, and there are no known restrictions on such Company’s exploitation or commercialization of such Company Products. As it relates to the Business, each member of the Company Group complies with any obligations pertaining to use of AI Tools under Laws (including Privacy and Security Requirements) or any Contracts to which it is a party, or commitments, statements, or other representation made in the technical documentation or marketing materials for any Company Products. There has been no claim or allegation, including inquiries or requests from regulators or legislators, concerning the use of any AI Tools related to the Purchased Assets or the Business by any member of the Company Group, including that any AI Input used in the development, training, improvement, or testing of any of the Company Products or other Business Intellectual Property was falsified, biased, untrustworthy, or manipulated in an unethical manner. None of the Company Group has used or employed any AI Tools in a manner that impairs or other adversely impacts (or may impair or may adversely impact) the Company Group’s ownership of any Owned Intellectual Property. None of the Company Group has included any Trade Secrets in any prompts or inputs into any AI Tools, except in cases where the applicable owner of such AI Tools has agreed in writing to keep such prompts or inputs confidential, and to use such input solely for the purpose of providing the applicable AI Tools to s...
