AI Assets means a complete copy of all source code, object code and digital and tangible copies, as applicable of all of the following owned by PurpleGrids: (i) the PurpleGrids artificial intelligence platform (the “Subject Software”) (including all source code and the change history and change logs for the source code); (ii) all APIs and interface definitions related to the Subject Software; (iii) all data models, schema files, definitions, database scripts, rules and triggers related to the Subject Software; (iv) all other scripts, batch processes or other tools used to develop, operate, support and maintain the Subject Software; (v) all documentation related to the Subject Software; (vi) all notes, instructions and knowledge-management content related to the Subject Software; (vii) all test harnesses, test fixtures and test data related to the Subject Software; (viii) all development, operation, support and maintenance tools and volume testing tools related to the Subject Software; (ix) all certification statements related to the Subject Software; (x) the log of all known bugs and other defects related to the Subject Software, including an indication of the backlog of uncorrected bugs and defects; (xi) all operational processes and knowledge articles used to resolve, and correct bugs, defects and other issues related to the Subject Software; (xii) the technical roadmap and any in-progress work product related to the development of updated releases or versions of the Subject Software or in furtherance of the roadmap elements; (xiii) all versions, metadata and other information in the source code control system for the Subject Software; and (xiv) all other proprietary items that are used in the development, operation, maintenance or support of the Subject Software.

AI Assets shall not include any fee interest in real property, or any asset, property or right that is not used exclusively or primarily in the business of the ACCPAC iBU.

• Each party hereto will reasonably cooperate with the other in the defense or prosecution of any litigation or proceeding already instituted or which may be instituted hereafter against or by such party relating to or arising out of the use of the AI Assets prior to the Closing Date (other than litigation arising out of the transactions contemplated by this Agreement).

• The Client warrants that should the reason for operating a AI Assets Limited Trading account changes, they will inform the Company immediately.

• The purchase price for the AI Assets (the "Purchase Price") shall be a number of shares (the “Shares”) of Hyperion’s common stock, $0.001 par value (the “Hyperion Common Stock”) that is equal to the number of shares of the common stock of AI issued and outstanding at the time of the Closing.

• Hyperion shall not assume, be liable for or pay, and none of the AI Assets shall be subject to, and AI shall retain, be unconditionally liable for and pay, any liability or obligation (whether known or unknown, matured or unmatured, stated or unstated, recorded or unrecorded, fixed or contingent, currently existing or hereafter arising) of AI, under or in connection with the Retained Assets.

• The Board of Directors of Hyperion and the Stockholder have unanimously approved this Agreement, the acquisition of the AI Assets, the issuance of the shares and the other transactions contemplated hereby.

• The entire beneficial interest in any AI Assets subject to a restriction as described above, and any other interest in such AI Assets which are transferable notwithstanding such restriction, shall be transferred from AI to Hyperion as provided in Section 1.1(a).

More Definitions of AI Assets

AI Assets means, (without duplication) any and all assets, properties and rights (including the goodwill associated therewith), wherever located, that are being used exclusively or primarily in the business of the ACCPAC iBU, including all accounting and other books, records and information; all computer, equipment and other tangible personal property; all inventories, work-in-process and finished goods; all the outstanding capital stock of DistribuPro, Inc.; all license agreements, purchase orders and other contracts, agreements and commitments; all written technical information, data, specifications and reseat and development information, all domestic and foreign copyrights, trade names, trademarks, service marks and registrations and applications therefor; all trade secrets, inventions and other proprietary information, all rights under contracts and agreements and all claims or rights arising from the ownership of any ACCPAC asset; and cash or cash equivalents, bank accounts and other deposit arrangements. "AI Assets" shall not include any fee interest in real property, or any asset, property or right that is not used exclusively or primarily in the business of the ACCPAC iBU.
