Agreed Charges definition

Agreed Charges means the charges billed by Contractor and its Affiliates for services and equipment used to provide the Work hereunder, in amounts mutually agreed upon by the Parties. The initial Agreed Charges for such services and equipment shall be as set forth on Schedule I attached hereto. The Parties shall negotiate in good faith at least every six (6) months to adjust the Agreed Charges to take into account cost increases incurred by Contractor and its Affiliates to provide such services and equipment. It is understood and agreed that it is the intent of the Parties that such charges will represent as close as reasonably determinable Contractor’s cost including both direct and allocated indirect costs. In the event that Owner and Contractor cannot agree upon the any required adjustment to the Agreed Charges within the time periods set forth in this provision, either Owner or Contractor may submit such matter for resolution in accordance with the dispute resolution provisions of Article XVI, which resolution shall be binding upon Owner and Contractor and represent the Agreed Charges until the next adjustment required hereunder. Until the agreement on any adjustment or the resolution thereof in accordance with this provision, the Agreed Charges in place prior to such adjustment or resolution shall remain in effect.

In order to accomplish the foregoing allocation of production, the parties shall rely upon gauging, metering, and strapping procedures conducted by Seller, with prior notice to Buyer and right of Buyer to witness such procedures, on or about the Effective Time to the extent possible and, unless demonstrated to be inaccurate, shall utilize reasonable interpolating procedures to arrive at an allocation of production when exact gauging, metering, and strapping data is not available on hand as of the Effective Time. Ad valorem taxes for 2007 shall be prorated on a daily basis, with Buyer liable for the portion allocated to the period on and after the Effective Time and Seller liable for the portion allocated to the period before the Effective Time. If the amount of such taxes for part, or all, of the Assets is not available on the Closing Date, proration of taxes shall be made on the basis of taxes assessed in the previous year, with a subsequent cash adjustment of such proration to be made between Seller and Buyer when actual tax figures are available. Property Costs shall not include any amounts which constitute or relate to Retained Liabilities. The "Preliminary Amount" shall be the Purchase Price, adjusted as provided in Section 2.05(b), based upon the best information available at time of the Closing.

  • Installation Charges means those Charges set out in the Order in relation to installation of the Service and/or any Purchased Equipment, Customer Equipment and/or BT Equipment as applicable.

  • Monthly Charges means a finance carrying charge of **** and a storage and handling charge of ****, in each case of the Cost of the Inventory and/or Special Inventory and/or of the fees for the Product affected by the reschedule or cancellation (as applicable) per month until such Inventory and/or Special Inventory and/or Product is returned to the vendor, used to manufacture Product or is otherwise purchased by Customer.

  • Water Charges means service charges in respect of the provision of water.

  • Production Costs means those costs and expenditures incurred in carrying out Production Operations as classified and defined in Section 2 of the Accounting Procedure and allowed to be recovered in terms of Section 3 thereof.

  • Rent and Charges Reserve means the aggregate of (a) all past due rent and other amounts owing by a Loan Party to any landlord, warehouseman, processor, repairman, mechanic, shipper, freight forwarder, broker or other Person who possesses any Collateral or could assert a Lien on any Collateral; and (b) a reserve equal to three months rent and other charges that could be payable to any such Person, unless it has executed a Collateral Access Agreement.

  • Fees and Charges means the fees and charges set out in Appendix 2, including such fees and charges as may be revised by the Service Provider from time to time by amendment to Appendix 2 in accordance with this Agreement;

  • Access Charges means the sum payable under the Access Agreement and/or this RAO agreed by the Operators to be paid by the Access Seeker to the Access Provider for providing the Access Service, the indicative Access Charges are as per Appendix C hereof which rate is exclusive of GST which shall be payable also by the Access Seeker.

  • Room charge means the charge imposed for the use or occupancy of a room, excluding charges for food, beverages, state use tax, telephone service, or like services paid in connection with the charge, and excluding reimbursement of the assessment imposed by this act.

  • Service Costs has the meaning ascribed thereto in Section 3.01.
