Aggregate Net Investment definition

Aggregate Net Investment means, at any time, the aggregate amount of the Owners’ Net Investments outstanding at such time.

Aggregate Net Investment means the sum of (I) the Company’s long-term indebtedness (including the current portion thereof) on a consolidated basis as shown in the “Long-Term Debt” line item on the most recently available consolidated balance sheet of the Company plus (II) the Capital Lease Obligations of the Company and its Subsidiaries on a consolidated basis as shown on the most recently available consolidated balance sheet of the Company plus (III) the amount by which (x) stockholders' equity of the Company and its Subsidiaries on a consolidated basis as shown on the most recently available consolidated balance sheet of the Company exceeds (y) the total amount of goodwill as shown on the most recently available consolidated balance sheet of the Company.

Aggregate Net Investment means the sum of the Net Investments for each Class.

• For so long as Xxxxx is the Servicer, Xxxxx shall have the right to purchase all of the existing Transferred Receivables if, at any time, the aggregate Receivable Balance of the Transferred Receivables is 10% or less of the Aggregate Net Investment as of the Original Closing Date.

• If at any time on or prior to the Termination Date for such Class the Aggregate Percentage Factor is greater than the Maximum Percentage Factor, then the Transferor shall immediately pay to the Administrative Agent, for the benefit of the Class Investors from previously received Collections, an amount equal to the amount such that, when applied in reduction of the Aggregate Net Investment, will result in an Aggregate Percentage Factor less than or equal to the Maximum Percentage Factor.

• Until such amount shall be repaid, such amount shall be deemed to be Aggregate Net Investment paid by the Administrative Agent and the Administrative Agent shall be deemed to be the owner of a Transferred Interest hereunder.

• Notwithstanding anything to the contrary contained herein, should the Aggregate Percentage Factor exceed one hundred percent (100%) at any time, the Percentage Factor for each Class shall be calculated pro rata, based upon the relationship of the Net Investment for such Class to the Aggregate Net Investment.

• On the date after all Termination Dates on which the Aggregate Net Investment is zero, all accrued Discount and Servicing Fees have been paid in full and all other Aggregate Unpaids have been paid in full, any funds remaining on deposit in the Collection Account shall be paid to the Transferor.
