Aggregate Letter of Credit (Revolver) Usage definition

Aggregate Letter of Credit (Revolver) Usage means, as of the date of determination, the result of (a) the Letter of Credit Usage for all outstanding Letters of Credit (Revolver) less (b) the Letter of Credit Usage for any outstanding Letter of Credit (Revolver) for which the Borrower has provided collateral in the manner provided in Section 4.14 in an amount not less than the Letter of Credit Liability for such Letter of Credit (Revolver). For the avoidance of doubt, the Letter of Credit Usage for any Letter of Credit (Revolver) shall not be reduced by any Cash Collateral provided pursuant to Sections 4.12 or 4.13.

Examples of Aggregate Letter of Credit (Revolver) Usage in a sentence

  • The Borrower shall, immediately upon any acceleration of the Stated Maturity Date of any Loans or Letters of Credit pursuant to Section 8.2 or Section 8.3, repay all (or if only a portion is accelerated thereunder, such portion of) the Loans then outstanding and reduce the Aggregate Letter of Credit (Revolver) Usage and Aggregate Letter of Credit (MDT) Usage to zero.

  • If at any time the Aggregate Letter of Credit (Revolver) Usage exceeds the Letter of Credit (Revolver) Sublimit, the Borrower shall reduce the Aggregate Letter of Credit (Revolver) Usage by providing collateral for the Letter of Credit Liability corresponding to such excess Aggregate Letter of Credit (Revolver) Usage in the manner set forth in Section 4.14 to the extent required to eliminate such excess.

  • The Borrower shall, on each date when the Available Revolving Facility Commitment is less than zero, repay the Revolving Loans, Swingline Loans or reduce the Aggregate Letter of Credit (Revolver) Usage until they have paid in or collateralized an amount equal to such deficit.

  • No Letter of Credit shall be issued, renewed, extended or increased if, after giving effect thereto, (A) the Available Revolving Facility Commitment would be less than zero, (B) Aggregate Letter of Credit (Revolver) Usage would exceed the Letter of Credit (Revolver) Sublimit, or (C) the Available Revolving Lender Commitment of any Revolving Lender would be less than zero.

  • Letter of Credit Amount the stated maximum amount available to be drawn under a particular Letter of Credit, as such amount may be reduced or reinstated from time to time in accordance with the terms of such Letter of Credit.

  • Letter of Credit Reserve has the meaning set forth in Section 2.1.2(d).

  • Letter of Credit Maximum Amount means $5,000,000; provided that, on and after the Maturity Date, the Letter of Credit Maximum Amount shall be zero.

  • Unused Letter of Credit Subfacility means an amount equal to the Letter of Credit Subfacility minus the sum of (a) the aggregate undrawn amount of all outstanding Letters of Credit plus, without duplication, (b) the aggregate Unpaid Drawings obligations with respect to a Letters of Credit.

  • Letter of Credit Liability means the sum of (x) aggregate amount of the undrawn stated amount of all outstanding Letters of Credit plus (y) the amount drawn under Letters of Credit for which the Letter of Credit Issuer and the Lenders, or any one or more of them, have not yet received payment or reimbursement (in the form of a conversion of such liability to Loans, or otherwise) as required pursuant to Section 2.8.

  • Letter of Credit Limit means $5,000,000.

  • Letter of Credit Subfacility means, at any time, an amount equal to the lesser of (a) the aggregate amount of the L/C Issuers’ Letter of Credit Sublimits at such time and (b) the Revolving Credit Facility at such time. The Letter of Credit Subfacility is part of, and not in addition to, the Revolving Credit Facility. On the Closing Date, the amount of the Letter of Credit Subfacility is $25,000,000.

  • Letter of Credit Facility means, at any time, an amount equal to the amount of the Issuing Bank’s Letter of Credit Commitment at such time, as such amount may be reduced at or prior to such time pursuant to Section 2.05.

  • Revolving Loan Limit means, at any time, the lesser of (a) the Revolving Loan Commitment and (b) the Borrowing Base.

  • Aggregate Revolving Credit Outstandings shall have the meaning provided in Section 5.2(b).

  • Revolving Credit Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Credit Commitment Termination Date and the date of termination of the Revolving Credit Commitments.

  • Facility Letter of Credit Obligations means, as at the time of determination thereof, all liabilities, whether actual or contingent, of the Borrower with respect to Facility Letters of Credit, including the sum of (a) the Reimbursement Obligations and (b) the aggregate undrawn face amount of the then outstanding Facility Letters of Credit.

  • Letter of Credit Reimbursement Agreement has the meaning specified in Section 2.4(e).

  • Letter of Credit Advance means an advance made by the Issuing Bank or any Revolving Credit Lender pursuant to Section 2.03(c).

  • Aggregate Revolving Credit Exposure means the aggregate amount of the Lenders’ Revolving Credit Exposures.

  • Revolver Usage means, as of any date of determination, the sum of (a) the amount of outstanding Advances, plus (b) the amount of the Letter of Credit Usage.
