Agency Affiliate definition

Agency Affiliate means (i) the wholly owned subsidiary of the Agency’s parent (“Owner”) where the Agency is also a wholly owned subsidiary (ii) which Agency Affiliate is an advertising agency and does not operate as a commercial production, post production business or acts as an in-house cost consulting entity. Agency represents that it is soliciting bona fide bids for the production of the Commercial and Producer represents that its bid, if submitted, shall be a bona fide bid. If the terms and conditions of this Agreement are inconsistent with those in Client’s or Agency’s bid/specification form, production agreement or purchase order that address the subject matter of this Agreement, the terms and conditions of this Agreement shall control. Agency is signing this Agreement for itself and for its Client who is also a “Party,” “Recipient” and “Discloser” under this Agreement. Now, therefore, the Parties agree as follows:

Agency Affiliate means any of the following: (a) companies directly or indirectly belonging to or controlled by Agency through management appointment or otherwise; (b) companies directly or indirectly belonging to or controlled by companies which directly or indirectly own or control Agency; and (c) any companies having entered into an affiliation agreement with Agency or the above- referred companies. “Control” means the power of an entity to secure that the affairs of another are conducted in accordance with its wishes and "controlled" shall be construed accordingly.

  • This may be accomplished either through maintaining one set of books and records for Broker and Insurance Agency Affiliate or by maintaining separate sets of books and records with adequate integration, through cross-referencing or otherwise, between records maintained by Broker and those maintained by Insurance Agency Affiliate.

  • In jurisdictions where neither the Wholesaler nor any Wholesaler Agency Affiliate is licensed as contemplated by the first paragraph of this Section 2.a., when requested in writing by the Wholesaler, the Company will perform such wholesaling activities related to the Contracts contemplated by this Agreement as are mutually agreed upon by the Company and the Wholesaler.

  • Any such wholesaling activities will be performed by the Company as agent and for the benefit of the Wholesaler, until such time as the Wholesaler notifies the Company and the Underwriter that the Wholesaler or its Wholesaler Agency Affiliate is so licensed.

  • Agency Affiliates shall act as independent contractors in the performance of their duties and obligations under this Agreement and nothing contained in this Agreement shall constitute the Wholesaler or any Wholesaler Agency Affiliate or their respective Associated Persons as employees of the Company or the Underwriter in connection with the wholesaling activities contemplated by this Agreement or otherwise.

  • The Distributor and Distributor Agency Affiliates shall act as independent contractors in the performance of their duties and obligations under this Agreement and nothing contained in this Agreement shall constitute the Distributor or any Distributor Agency Affiliate or their respective Associated Persons as employees of the Company or Underwriter in connection with the wholesaling activities contemplated by this Agreement or otherwise.

  • The Agency may not assign this Agreement or any part thereof to any Agency Affiliate or any other entity without the prior written consent of Client.
