Examples of AFI Shares in a sentence

  • Seller shall have delivered to Buyer a statement, meeting the requirements of Treasury Regulations Sections 1.897-2(g)(2) and 1.1445-2(c)(3), to the effect that the AFI Shares do not constitute U.S. real property interests as of the Closing Date within the meaning of Section 897(c)(1) of the Code and the Treasury Regulations promulgated thereunder.

  • Seller and Buyer shall allocate the Purchase Price as follows: $135,700,000 plus the AFI Closing Date Tangible Book Value solely to the AFI Shares and the remainder solely to the WMI Shares.

  • AWI and AFI shall take all actions as may be necessary to approve the grants of adjusted equity awards by AWI (in respect of AWI Shares) and AFI (in respect of AFI Shares) in connection with the Distribution in order to satisfy the requirements of Rule 16b-3 under the Exchange Act.

  • Sold Shares shall have the meaning specified in Section 6.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Subco Shares means the common shares in the capital of Subco.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Amalco Shares means the common shares in the capital of Amalco;

  • Acquired Shares has the meaning set forth in the Recitals.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Sale Shares shall have the meaning given to it in Recital (B);

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.
