Affiliated System definition

Affiliated System means each Delivery System located in the Territory which has a valid agreement with Licensee or a Controlled Affiliate pursuant to which (a) Licensee or a Controlled Affiliate provides such Delivery System with the Licensed Service(s) and (b) the Delivery System provides the Licensed Service(s) to its Subscribers as a Basic Television Service.

Affiliated System means each cable television system, a master antenna system, a SMATV system, an MDS system or a DTH system which receives programming directly from a satellite, or a closed subscription-based IPTV, broadband over power lines DSL or ADSL system (a “Delivery System”) located in the Territory which has a valid agreement with Licensee pursuant to which Licensee provides such Delivery System with the Licensed Service and the Delivery System provides the Licensed Service to its subscribers as a Basic Television Service or Subscription Pay Television Service; provided that such Delivery System shall in no event mean any system which delivers a television signal by means of a publicly available, open access network of interconnected networks (including the Internet and/or World Wide Web).

Examples of Affiliated System in a sentence

  • Under no circumstances shall Licensor have the right to examine Records relating to any other picture or program licensed by Licensee or Records relating to Licensee’s business generally, or to examine any books or records of any Affiliated System.

  • Any item that Licensee accepts in an accounting from an Affiliated System shall be binding upon Licensor.

  • With respect to each Program, Licensor may authorize a third party that is not an Affiliated System to Exhibit the version(s) of such Program made available to Licensee hereunder by means of Non-Standard Television (other than the Internet) on a Pay-Per-View Basis during such Program’s License Period.

  • Licensee shall require the owners and/or operators of any Affiliated System to also abide by the terms of this section.

  • Licensee shall use commercially reasonable efforts to ensure that each Affiliated System offering Program episodes on their Approved Set-Top Boxes and/or BDU Sites by means of Catch-Up Licensed Services complies with the relevant terms herein, including without limitation the content protection requirements and obligations set forth in Schedules C and D, and Licensee shall remain primarily liable to Licensor under the terms of this Agreement.

  • To exhibit the Programs as part of the Licensed Service(s) over the facilities of each Affiliated System for reception on one channel of Subscribers’ home television sets in the Territory.

  • To exhibit the Programs as part of the Licensed Service(s) over the facilities of each Affiliated System for reception [on one channel] of Subscribers’ home television sets in the Territory.

Affiliated System means each copper wire and/or fiber optic cable, closed system IP/DSL network infrastructure (including ADSL/ADSL 2+/FTTH technologies), master antenna system, SMATV system, MDS/MMDS system, DBS system and DTH system which receives programming directly from a satellite, DTT system, used by Licensee for delivery to the Approved Devices of authorised Subscribers only and where services delivered over such infrastructure are not openly accessible (e.g. are not accessible via a website) (a “Delivery System”) located in the Territory which has a valid agreement with Licensee pursuant to which Licensee provides such Delivery System with the Licensed Service and the Delivery System provides the Licensed Service to its subscribers as a Basic Television Service or Subscription Pay Television Service; provided that such Delivery System shall in no event mean any system which delivers a television signal by means of a publicly available, open access network of interconnected networks (including the Internet) and shall not include any Mobile System.

Related to Affiliated System

  • Designated System means an electric generation unit that produces electric energy using a Renewable Energy Source that is selected by the IPA through the ABP and approved by the ICC for inclusion in this Agreement as of the Trade Date of a Product Order.
