All terms, covenants, conditions, promises and agreements contained herein shall be for the sole and exclusive benefit of the Parties hereto, the members of their Affiliated Groups, and their successors and assigns.
Nothing expressed or implied herein is intended or shall be constructed to confer upon or to give to any person, firm or corporation (other than the Parties hereto, members of their Affiliated Groups, and their successors and assigns) any right, remedy or claim under or by reason of this Agreement or of any term, covenant or condition hereof.
Subject to Section 9.2 hereof and compliance with applicable securities laws, this Warrant, and any portion hereof, and the Warrant Shares may be transferred by the Holder in its sole discretion at any time and to any Person, including without limitation transfers to Affiliates or Affiliated Groups (as such terms are defined in the Stock Purchase Agreement), without the consent of the Corporation.

If the Borrower or any other member of the Borrower Affiliated Group fails to provide such insurance, the Administrative Agent, in its sole discretion, may provide such insurance and charge the cost thereof to the Loan Account or to the Borrower's or any such other member of the Borrower Affiliated Group's deposit account with the Administrative Agent.
Such payment shall be made on the date the Affiliated Group's consolidated federal income tax return is required to be filed (including any period for extension).
LMC shall cause its Selling Affiliated Groups to timely prepare and file (or cause to be prepared and filed) all Pre-Closing Consolidated Returns and to timely pay all Taxes shown as due and payable on Pre-Closing Consolidated Returns (including, but not limited to, any Taxes with respect to any deferred income triggered into income by Treasury Regulation (S) 1.1502-13 and Treasury Regulation (S) 1.1502-14 and any excess loss accounts taken into income under Treasury Regulation (S) 1.1502-19).
Allergan and AMO hereby guarantee the complete and prompt performance by the members of their respective Affiliated Groups of all of their obligations and undertakings pursuant to this Agreement.
The Administrative Agent shall have received a long-form certificate of the Secretary of State of the respective jurisdictions of formation of each of the Borrower and each other member of the Borrower Affiliated Group as to each of the Borrower's and such other member of the Borrower Affiliated Group's legal existence and good standing in such state and listing all documents on file in the office of said Secretary of State.
Realty and Marketing hereby guarantee the complete and prompt performance by the members of their respective Affiliated Groups of all of their obligations and undertakings pursuant to this Agreement.
