Definition of Affiliate Guarantors


Affiliate Guarantors means, jointly and severally, MACERICH BRISTOL ASSOCIATES, a California general partnership, and its successors, MACERICH GREAT FALLS LIMITED PARTNERSHIP, a California limited partnership, and its successors, MACERICH OKLAHOMA LIMITED PARTNERSHIP, a California limited partnership, and its successors, MACERICH WESTSIDE ADJACENT LIMITED PARTNERSHIP, a California limited partnership, and its successors, MACERICH SASSAFRAS LIMITED PARTNERSHIP, a California limited partnership, and its successors, NORTHGATE MALL ASSOCIATES, a California general partnership, and its successors, and any other guarantors executing Supplemental Guaranties in accordance with Section 4.1 of the Credit Agreement.

Examples of Affiliate Guarantors in a sentence

To the extent that a Combined financial statement is required to be delivered under this Section, if Consolidated statements of the Affiliate Guarantors, the Borrower and their respective Subsidiaries are filed with the Securities and Exchange Commission in lieu of Combined statements, delivery of such Consolidated statements shall satisfy the requirements of this Section.
The Lenders hereby agree that, in accordance with Section 5.01(h), the Borrower, its Subsidiaries, the Affiliate Guarantors and their Subsidiaries may enter into the Redesign Documents on the following terms and conditions: (a) Trademarks.
The Borrower and its Subsidiaries may transfer the Dairy Business to an Affiliate Guarantor and any of such Affiliate Guarantor's Subsidiaries having a structure substantially the same as that of Wise Holdings, Inc.
As credit support for the Obligations, on or before the Closing Date, the Westcor Guarantors, the Wilmorite Guarantors and the Affiliate Guarantors shall each execute and deliver to the Administrative Agent, for the benefit of the Lenders, a Subsidiary Guaranty.
The proceeds of the Advances shall be available to pay transaction fees and expenses, for acquisitions and general corporate purposes of the Borrower and its Subsidiaries and for making advances to the Affiliate Guarantors and their Subsidiaries for acquisitions and general corporate purposes of the Affiliate Guarantors and their Subsidiaries.
