Disputes, complaints or inquiries from within EPI, an Affiliate, Customers of EPI, or from a Representative respecting the application of, or alleged non-compliance with this Code, may be made verbally or submitted in writing to the Compliance Officer and may be made confidentially.
The Primary Customer has requested, and subject to the terms hereof the Bank agrees that the customer identifier used for IBS or other System assigned by Bank to Primary Customer and other access credentials for use of an IBS or other System assigned to or designated as belonging to Primary Customer (collectively, the “IBS ID”) may be used by Primary Customer and the Affiliate Customers for purposes of conducting Transactions and using the designated Services.
Bank may conclusively rely on Primary Customer's authority to act for itself and to bind the Affiliate Customers with respect to the foregoing.
Primary Customer agrees to notify the Affiliate Customers of any such notices received, agreements made and actions taken on behalf of any such Affiliate Customer.
We may, from time to time and at your request, provide you with converter tool(s) (a " File Converter") that will enable you, and your Affiliate Customers, to convert payment files for the purposes of uploading the same into our Electronic Platform(s) and ultimately processing Instructions on your, and your Affiliate Customers’, behalf.
EPI may have common directors with Affiliates, as long as acting in such a dual capacity could not reasonably be considered to be detrimental to the interests of EPI or Affiliate Customers.
In addition to any other indemnification obligations set forth herein, Primary Customer agrees to indemnify and hold the Bank harmless for any and all Losses that the Bank may suffer or incur in connection with providing the Services to the Affiliate Customers or any other matters related to this Agreement, except for Losses attributable to the Bank's gross negligence or willful misconduct.
EPI may have common directors with Affiliates, as long as acting in such a dual capacity could not reasonably be considered to be detrimental to the interests of EPI or Affiliate Customers Measure: LP Ethics & Compliance will review the directorship of EPI and its Unregulated Affiliates to assess the appropriateness of Directors acting in a dual capacity.
Measure (a): The Compliance Officer will review and approve the restrictions of sharing of employees between EPI and Unregulated Affiliates, excepting sharing for the providing of Shared Corporate Services or Shared Customer Services, and confirmation that any sharing of employees between EPI and Affiliates is not detrimental to the interests of EPI Customers or Affiliate Customers.
This data may not be shared with subsidiaries, alliances, joint ventures or any relationship between the Customer and any other Affiliate Customers and/or competitors.
