The Sub-Adviser shall have full discretion and authority, without obtaining the Adviser's prior approval, to manage the investment and reinvestment of the Assets placed under the authority of the Sub-Adviser consistent with the investment objectives and strategy referred to in Section 2 above and subject to the Investment Requirements.
To the extent applicable, the Adviser acknowledges receipt of the Sub-Adviser's brochure required to be delivered under the Advisers Act (including the information in Part 2 of the Sub-Adviser's Form ADV).
