Advice from Broker definition

Advice from Broker or "Advice" means a written notice sent to Customer and Bank or transmitted by a facsimile sending device, except that Advice for initial or additional Collateral or with respect to Broker's ability to effect a short sale for the Customer may be given orally. With respect to any short sale or Closing Transaction, the Advice from Broker shall mean a standard confirmation in use by Broker and sent or transmitted to Customer and Bank. Advice from Broker means a notice sent by an authorized representative of Broker or by Customer’s introducing broker delivered to Customer, Manager or Custodian, as applicable hereunder, communicated: (i) in writing (including, but not limited to, as part of the daily work file provided to Customer); (ii) by a facsimile-sending device; or (iii) in the case of a call for additional Collateral, a notice that an exercise notice filed with OCC has been assigned to Customer, a notice that Customer has failed to give notice of intent to make payment due upon exercise of a Put Option or has failed to make delivery of securities or currency required to be delivered upon exercise of a Call Option or has failed to pay an Exercise Settlement Amount, or a notice referred to in Section 7 hereof, by telephone to a person designated by Customer, Manager or Custodian in writing as authorized to receive such advice or, in the event that no such person is available, to any officer of Customer, Manager or Custodian.
Advice from Broker or “Advice” means a written notice or instruction provided by Broker to Customer or Custodian by mail, telegram, personal delivery or facsimile, provided, that in respect of Customer only, Advice also means a notice, instruction or information provided, or made available to, Customer by electronic mail or other internet or electronic means, including without limitation, by providing Customer with access to, or use of, an internet site, or an on-line or other electronic system for account access, trading, order entry or other service, and provided further, that Advice for the deposit or posting of initial or additional Collateral or with respect to Broker’s ability to effect a short sale for Customer may be given orally. With respect to any short sale or Closing Transaction, the Advice from Broker may be communicated by means of the standard confirmation in use by Broker and provided or made available to Customer or Custodian, as applicable. Advice from Broker means a notice or entitlement order (as defined in Section 8-102 of the UCC (as defined herein)) or instruction (within the meaning of Section 9-104 of the UCC) delivered to Customer or Custodian by an Authorized Representative (as defined below) of Broker, as applicable hereunder, communicated: (i) in writing (including, for the avoidance of doubt, electronic mail); (ii) by a facsimile- sending device; or (iii) in cases of calls for additional Collateral (as such term is hereinafter defined) or notices referred to in paragraph 7 hereof, by telephone to a person designated by Customer or Custodian in writing as authorized to receive such advice or, in the event that no such person is available, to any officer of the Customer or Custodian. With respect to any Short Sale or Closing Transaction, the Advice from Broker shall include a confirmation in the form normally used by Broker for that type of transaction. An authorized agent of Broker will certify to Custodian the names and signatures of those employees who are authorized to sign Advice from Broker, which certification may be amended from time to time. When used herein, the term “Advise” means the act of sending an Advice from Broker.

An officer of Broker shall certify to Custodian on Appendix A attached hereto the names and signatures of those employees who are authorized to sign Advices from Broker (each, an “Authorized Representative of Broker”), which certification may be amended from time to time by a new written certification to Custodian.
