Advent Investment definition

Advent Investment means the sum of (i) $287,692,829.08 plus (ii) the dollar value of any cash or other consideration contributed or invested in the Company or any of its Subsidiaries by any Advent Investors or any affiliated investment vehicles of the Advent Investors following the Closing Date and prior to the consummation of a Change of Control, but only to the extent that any such subsequent contribution or investment shall have been made in good faith, for a bona fide business purpose and not with the intent of reducing the likelihood of the vesting of any Performance Awards under this Award Agreement and similar award agreements.
