AdvanSix has the meaning set forth in the preamble.
AdvanSix or “Settling Defendants” shall mean AdvanSix Resins & Chemicals LLC and AdvanSix Inc.
SpinCo shall have the meaning set forth in the Preamble.
ITT has the meaning given to it in the recitals to this Framework Agreement;
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
RemainCo shall have the meaning set forth in the Preamble.
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
Broadridge means Broadridge Financial Solutions, Inc.;
Motorola means Motorola, Inc., a Delaware corporation.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Honeywell has the meaning set forth in the preamble.
Dean means the head of a faculty of the University;
SpinCo Employee means any individual who, immediately following the Distribution Date, will be employed by Spinco or any member of the Spinco Group in a capacity considered by Spinco to be common law employment, including active employees and employees on vacation and approved leaves of absence (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves).
Cendant means Cendant Corporation, a Delaware corporation.
Soda fountain means a place especially equipped
GCP means the Good Clinical Practices officially published by EMA, FDA and the International Conference on Harmonisation of Technical Requirements for Registration of Pharmaceuticals for Human Use (ICH) that may be in effect from time to time and are applicable to the testing of the Compounds.
SAP Group means SAP Parent and any of its Associated Companies.
ITC (this Section2 of the RFP) means the Instructions to Consultants that provides the Consultants with all information needed to prepare their Proposals.
OPC has the meaning specified in the recital of parties to this Agreement.
DPS means the Department of Public Safety of the State of Texas, a state agency in the executive branch created under Tex. Gov’t Code Ch. 411.
Horizon means a layer of soil, approximately parallel to the surface, that has distinct characteristics produced by soil forming processes.
Service Group means any one or more (as the context may require) of the service groups described in this Schedule;
COLA means cost of living adjustments.
IR means Indian Railways.
FAC means the Florida Administrative Code.
Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.
DuPont means E. I. du Pont de Nemours and Company.
SpinCo Business has the meaning set forth in the Separation and Distribution Agreement.
