Adjustment Percentage definition

Adjustment Percentage means, with respect to any Loan, the quotient (expressed as a decimal) of the Loan Value for such Loan divided by the Cut-Off Date Unpaid Principal Balance of such Loan.
Adjustment Percentage means the ratio of (i) the number of shares of Common Stock issued to the Purchasers (as defined in the Transaction Agreement) after adjustment pursuant to Section 1.04(d) of the Transaction Agreement to (ii) the number of such shares prior to such adjustment. The Executive and the Company acknowledge and agree that any shares of Common Stock or other equity securities of the Company acquired by the Executive upon exercise of such Option or otherwise shall be subject to the terms and conditions of the Shareholders Agreement.
Adjustment Percentage means, for any Project, that percentage which, when multiplied by each item of Operating Cash Flow of such Project used in the Financial Model would yield a Projected Project IRR of six percent (6%) rather than the actual Projected Project IRR.
