Adjusted Shareholders’ Equity definition

Adjusted Shareholders’ Equity for each year in the Performance Period is defined as the sum of the Company’s total common stockholders’ equity as reported in the Company’s balance sheet as of the beginning and end of the year (excluding net unrealized appreciation or depreciation of investments and adjusted as set forth in the immediately following sentence), divided by two. In calculating Adjusted Shareholders’ Equity, the Company’s total common shareholders’ equity as of the beginning and end of the year shall be adjusted to remove the cumulative after-tax impact of the following items during the Performance Period: (i) discontinued operations and (ii) the adjustments and reductions made in calculating Adjusted Operating Income.

Adjusted Shareholders’ Equity means the consolidated shareholders' equity of the COMPANY and its consolidated subsidiaries of the last day of a fiscal quarter of the COMPANY, as reported in the consolidated balance sheet of the COMPANY and its consolidated subsidiaries, as adjusted by subtracting therefrom the net proceeds of the sale by the COMPANY of any of its equity securities and by adding thereto the fair value of any dividends or distributions made by the COMPANY to its shareholders, after the date of this Agreement.

  • The Borrower will not permit Total Adjusted Shareholders’ Equity as of the last day of any Test Period to be less than $3,000,000,000.

Adjusted Shareholders’ Equity as of any date means the Company’s consolidated common shareholders equity as of such date, adjusted to reflect the cumulative value of adjustments made in the calculation of Adjusted Net Income as defined above.
