Adjusted Indemnity Escrow Amount definition

Adjusted Indemnity Escrow Amount means at the time such term is being used in this Agreement, the amount of funds in the Indemnity Escrow Amount as it has been adjusted as provided in this Agreement and in the Escrow Agreement.

  • If the Continuing Indemnity Escrow is more than the Adjusted Indemnity Escrow Amount, there shall be no disbursements from the Indemnity Escrow Amount at that time.

  • Indemnity Escrow Amount means $3,000,000.

  • Indemnification Threshold has the meaning set forth in Section 11.5.

  • Deductible Amount means, with respect to any Insuring Agreement, the amount set forth under the heading “Deductible Amount” in Item 3 of the Declarations or in any Rider for such Insuring Agreement, applicable to each Single Loss covered by such Insuring Agreement.

  • Final Adjustment Amount has the meaning set forth in Section 2.4(c).

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Issuer or any Guarantor described in the definition of “Contribution Indebtedness.”
