The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto.
The Parties acknowledge and agree that in the event the DTH Operator intends to make any changes to the Addressable System’s security and encryption technology, including the encryption system (other than standard software upgrades which are deemed not to be material changes), during the Term, the DTH Operator shall intimate the same to ZEEL by submitting Form for Change in Addressable Systems which is made available on ZEEL’s Website.

The Parties acknowledge and agree that in the event MSO intends to make any changes to the Addressable System’s security and encryption technology, including the encryption system (other than standard software upgrades which are deemed not to be material changes), during the Term, the MSO shall intimate the same to ZEEL by submitting Form for Change in Addressable Systems which is made available on ZEEL’s Website.
The Parties acknowledge and agree that in the event HITS Operator intends to make any changes to the Addressable System’s security and encryption technology, including the encryption system (other than standard software upgrades which are deemed not to be material changes), during the Term, the HITS Operator shall intimate the same to ZEEL by submitting Form for Change in Addressable Systems which is made available on ZEEL’s Website.
This Agreement is offered as per clause 8 of the Telecommunication ( Broadcasting and Cable) Services Interconnection ( Addressable Systems) Regulations, 2017 and this agreement is without prejudice to the rights of DEN and subject to any order passed in Civil Appeal No. 007326-007327 of 2018 pending before Hon’ble Supreme Court of India.
Broadcast Engineering Consultants India Ltd., or any other authority as may be specified by the TRAI by direction from time to time, and obtain a certificate from such agency that its digital Addressable System meets the requirements specified in Schedule I.
ZEEL shall provide requisite number of Integrated Receivers and Decoders (IRDs) subject to payment of stipulated interest free security deposit per IRD as per the conditions laid down in the Telecommunication (Broadcasting and Cable) Services Standards of Quality of Service and Consumer Protection (Addressable Systems) Regulations, 2017 dated 3rd March, 2017.
The audit and penalty under this clause shall be as per notification namely, “The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) (Amendment) Regulations” issued by TRAI on 30.10.2019.
The Operator granting access to the Subscribed Channels to subscribers outside the Area through its digital Addressable System shall tantamount to the Operator allowing unauthorized access to the Subscribed Channels.
