Actual Net Working Capital Amount definition

Actual Net Working Capital Amount means the Net Working Capital set forth on the Conclusive Statement.

Actual Net Working Capital Amount shall have the meaning set forth in Section 1.5.

• If no such notice is delivered to Buyer by Seller within such period, the Post-Closing Statement and the calculation of the Actual Net Working Capital Amount reflected thereon shall be binding upon the parties hereto.

• If the Estimated Net Working Capital Amount is less than the Actual Net Working Capital Amount as finally determined pursuant to Section 3.3(c) or Section 3.3(d), as the case may be, the Reconciliation Payment plus any Reimbursable Amounts shall be paid by Buyer to Seller.

• If the Actual Net Working Capital Amount as finally determined pursuant to Section 3.3(c) or Section 3.3(d) is equal to the Estimated Net Working Capital Amount, no payment shall be required under this Section 3.3(e).

• If the Actual Net Working Capital Amount as finally determined pursuant to Section 3.3(c) or Section 3.3(d) is less than the Estimated Net Working Capital Amount, the Reconciliation Payment shall be paid by Seller to Buyer.

• Seller shall submit a proposed allocation to Buyer not more than ninety (90) days after the date on which the Actual Net Working Capital Amount is finally determined pursuant to Section 3.3(c) or Section 3.3(d), as the case may be, and such proposed allocation shall be subject to consent from Buyer.

• If, pursuant to Section 2.6(a) above, there is a dispute as to the final determination of the Actual Cash Amount, the Actual Indebtedness Amount, the Actual Net Working Capital Amount or the Actual Capital Expenditures Amount, the Company and the Existing Stockholder shall promptly pay to the other, as appropriate, such amounts as are not in dispute, pending final determination of such dispute pursuant to Section 2.6(a).

• If, pursuant to Section 2.4(a) above, there is ------- a dispute as to the final determination of the Actual Cash Amount, the Actual Indebtedness Amount or the Actual Net Working Capital Amount, the Purchaser and the Representative shall promptly pay to the other, as appropriate, such amounts as are not in dispute, pending final determination of such dispute pursuant to Section 2.4(a).

• A Post-Closing Statement Dispute Notice shall set forth Seller’s determination of the Actual Net Working Capital Amount and set forth, in reasonable detail, the basis for such determination.

• Seller shall provide to Buyer such additional back-up or supporting data relating to the preparation of the Post-Closing Statement Dispute Notice and Seller’s calculation of the Actual Net Working Capital Amount contained therein as Buyer may reasonably request.

More Definitions of Actual Net Working Capital Amount

Actual Net Working Capital Amount has the meaning ascribed to such term in Section 2.2(a) of this Agreement.

Actual Net Working Capital Amount means the Net Working Capital Amount as set forth on a combined balance sheet of Claremont and Sales, prepared in accordance with this Section 2.2 as of the close of business on the Closing Date (the "Closing Date Balance Sheet") determined in accordance with GAAP and on a basis consistent with, and using the same accounting principles, policies, practices and procedures used in preparing, the Restaurant Segment's Audited Financial Statements.
